Terms and Conditions

1. Acceptance of terms

These Terms and Conditions ("Terms") govern access to and use of the websites, products, and services offered by VoxVanta ("VoxVanta", "Company", "we", "us", or "our").

By creating an account, accessing, or using the VoxVanta website or Services in any manner, the individual or entity agreeing to these Terms ("Customer", "you", or "your") accepts and agrees to be bound by them.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity; if you do not, you must not use the Services.

2. Eligibility

The Services are intended for business and professional use only.

You may use the Services only if you are at least the age of majority in your jurisdiction (typically 18 years or older) and have the legal capacity to enter into binding contracts.

VoxVanta reserves the right to refuse, suspend, or terminate access to the Services where eligibility criteria are not met or where use would violate applicable law.

3. Services overview

VoxVanta provides AI-powered voice receptionist and call automation services, which may include:

  • Inbound AI call reception and call handling.
  • Outbound call workflows, reminders, and follow-ups (where enabled).
  • Call routing, transfer, and escalation to human agents.
  • Call recording, transcription, and analytics features.
  • Appointment booking, lead capture, and related workflow automation.
  • Integrations and APIs that connect the Services with third-party telephony, CRM, and productivity tools.

Specific features and functionalities available to you may depend on the subscription plan, configuration, and integrations you select.

VoxVanta may modify, enhance, or discontinue features from time to time, provided that such changes are consistent with these Terms and any applicable order documents.

4. Account registration and security

To access most features of the Services, you must create an account and provide accurate, current, and complete information.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, whether or not authorized by you.

You must promptly notify VoxVanta of any unauthorized access or suspected security incident relating to your account or the Services.

5. Customer data and privacy

"Customer Data" means any data, content, or information (including personal data, call recordings, transcripts, configuration data, and metadata) that you or your users submit to or generate through the Services.

As between the parties, you retain ownership of Customer Data, subject to the rights granted to VoxVanta under these Terms.

You are solely responsible for the accuracy, quality, and legality of Customer Data and for ensuring that you have all necessary rights, consents, and notices to use and disclose Customer Data in connection with the Services.

VoxVanta will process Customer Data only to provide and improve the Services, comply with legal obligations, and as otherwise described in the VoxVanta Privacy Policy, which forms part of and is incorporated by reference into these Terms.

By using the Services, you acknowledge that you have reviewed the Privacy Policy and agree to its terms as applicable to your use of the Services.

6. Call recording, consent, and responsibilities

The Services may enable call recording, transcription, and analysis of calls handled through VoxVanta.

You are solely responsible for determining whether and how to use these features in compliance with applicable laws, including call recording, telecom, and privacy laws in the jurisdictions of all call participants.

Without limiting the foregoing, you are responsible for:

  • Providing clear and legally sufficient notices and obtaining any required consents from call participants.
  • Configuring call flows, scripts, and announcements to reflect legal and compliance requirements.
  • Responding to data subject requests or other legal obligations arising in connection with Customer Data.

VoxVanta does not provide legal advice and makes no representations about the legality of your particular uses of the Services; you should consult with your own counsel regarding compliance obligations.

7. Acceptable use

You agree not to use the Services, and not to permit others to use the Services, in any way that:

  • Violates any applicable law, regulation, or industry code.
  • Infringes, misappropriates, or violates intellectual property, privacy, or other rights of any person.
  • Is fraudulent, deceptive, harassing, defamatory, obscene, or otherwise harmful.
  • Attempts to reverse engineer, decompile, or otherwise extract source code from any part of the Services, except to the limited extent allowed by law.
  • Interferes with or disrupts the integrity, availability, or security of the Services or any third-party systems.
  • Circumvents or attempts to bypass any usage limits, authentication, or security mechanisms.

VoxVanta may investigate violations of this section and may suspend or terminate access to the Services for conduct that, in VoxVanta's reasonable judgment, violates these Terms or creates a risk of harm.

8. Third-party services and integrations

The Services may interoperate with or depend on third-party products, services, and platforms (such as telephony carriers, CRMs, ticketing tools, calendar systems, or AI providers).

Your use of any third-party service is subject to that provider's terms and privacy policies, and VoxVanta is not responsible for such providers' acts or omissions.

VoxVanta does not guarantee the continued availability or performance of any integration and may modify or discontinue integrations where required (for example, by changes to a third party's API or terms).

9. Trials, subscriptions, fees, and payment

VoxVanta may offer free trials, pilot programs, or limited-time access to certain features.

Unless otherwise stated, trials convert to paid subscriptions at the end of the trial period if you continue to use the Services and have provided valid billing information.

Paid access to the Services is typically offered on a subscription basis (for example, monthly or annually), with fees specified in the applicable order, plan, or online pricing page.

You agree to pay all applicable fees and taxes in accordance with the agreed billing terms, and authorize VoxVanta or its payment processors to charge your selected payment method.

Fees are generally non-refundable except as expressly provided in these Terms or an applicable order document.

VoxVanta may update pricing or introduce new charges with reasonable prior notice, which may be provided through the Site, within the Services, or by email.

Continued use of the Services after the effective date of a pricing change constitutes acceptance of the new pricing.

10. Intellectual property rights

Except for the limited rights expressly granted in these Terms, VoxVanta and its licensors retain all right, title, and interest in and to the Services, including all software, documentation, designs, interfaces, and underlying technology, together with any improvements, modifications, or derivative works thereof.

No rights are granted to you under these Terms by implication, estoppel, or otherwise, except for the limited license rights expressly set out herein.

VoxVanta may use suggestions, feedback, or ideas provided by you without restriction or obligation, provided that such use does not identify you or your confidential information.

Customer retains all right, title, and interest in and to Customer Data, subject to the rights granted to VoxVanta to process such data for the purposes set out in these Terms and the Privacy Policy.

11. Confidentiality

"Confidential Information" means information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees to protect the other party's Confidential Information using at least reasonable care and to use such information only for purposes consistent with these Terms.

Obligations of confidentiality do not apply to information that is publicly available without breach, already known to the receiving party on a non-confidential basis, independently developed without use of the disclosing party's Confidential Information, or rightfully obtained from a third party without breach of any obligation.

12. Warranties and disclaimers

VoxVanta will use commercially reasonable efforts to provide the Services in a professional and workmanlike manner and to maintain reasonable technical and organizational measures to protect Customer Data.

However, to the maximum extent permitted by law, the Services are provided "as is" and "as available", and VoxVanta disclaims all other warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

VoxVanta does not warrant that the Services will be uninterrupted, error-free, free of harmful components, or meet all of your requirements.

13. Limitation of liability

To the fullest extent permitted by law, neither VoxVanta nor its affiliates, officers, employees, or agents will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages (including loss of profits, revenue, goodwill, or data), even if advised of the possibility of such damages.

To the fullest extent permitted by law, VoxVanta's aggregate liability arising out of or relating to the Services or these Terms will not exceed the total amount paid or payable by you to VoxVanta for the Services giving rise to the claim during the twelve (12) months immediately preceding the event first giving rise to the claim.

These limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and even if a remedy fails of its essential purpose.

14. Indemnification

You agree to indemnify, defend, and hold harmless VoxVanta and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services in violation of these Terms or applicable law.
  • Customer Data, including any allegation that Customer Data infringes or violates the rights of a third party.
  • Your failure to obtain necessary consents or provide required notices in connection with Customer Data and call handling.

15. Term, suspension, and termination

These Terms take effect when you first accept them or first use the Services and continue until terminated in accordance with this section.

Either party may terminate a subscription or account as set out in the applicable order or plan (for example, at the end of a subscription term or trial).

VoxVanta may suspend or terminate access to the Services immediately with notice if you materially breach these Terms, use the Services in a manner that poses security or legal risk, or fail to pay undisputed amounts when due.

Upon termination, your right to access the Services will cease, and VoxVanta may delete or deactivate your account and Customer Data in accordance with the Privacy Policy and any applicable data retention commitments.

Certain provisions by their nature (including those relating to fees, confidentiality, intellectual property, limitations of liability, indemnity, and dispute resolution) will survive termination.

16. Governing law and dispute resolution

Unless otherwise agreed in writing, these Terms are governed by and construed in accordance with the laws of [Insert governing jurisdiction, e.g., the laws of India, without regard to conflict of laws principles].

Any disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in [Insert city and state], and each party irrevocably submits to such jurisdiction.

When material changes are made, VoxVanta will provide notice by reasonable means, which may include updating the "Last updated" date at the top of the Terms, displaying a notice within the Services, or sending an email to the primary contact associated with your account.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.

18. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

You may not assign or transfer these Terms or your rights under them without VoxVanta's prior written consent; VoxVanta may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

No failure or delay in exercising any right under these Terms shall constitute a waiver of that right.
