1. Acceptance of terms

These Terms and Conditions ("Terms") govern access to and use of the website, products, and services offered by VoxVanta ("VoxVanta", "we", "us", or "our"). VoxVanta is a sole proprietorship operated by Rohit Krishna, based in Kerala, India.

By creating an account, accessing, or using the VoxVanta website or Services, the individual or entity agreeing to these Terms ("Customer", "you", or "your") accepts and agrees to be bound by them.

If you are accepting these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity. If you do not, you must not use the Services.

2. Eligibility

The Services are intended for business and professional use only. You may use the Services only if you are at least 18 years old and have the legal capacity to enter into binding contracts. We may refuse, suspend, or terminate access where these criteria are not met or where use would violate applicable law.

3. Services overview

VoxVanta provides an AI-powered voice receptionist for inbound calls, which may include:

  • Inbound AI call reception and call handling.
  • Call transfer and escalation to a human.
  • Call recording, transcription, summaries, and analytics.
  • Appointment booking, including integration with a connected Google Calendar account.
  • Lead and follow-up capture.
  • A web portal for configuring the agent and reviewing call activity.

The features available to you depend on your plan and configuration. We may modify, enhance, or discontinue features from time to time.

4. Account registration and security

To use the Services you must create an account and provide accurate, current, and complete information. You are responsible for keeping your login credentials confidential and for all activity under your account. You must notify us promptly of any unauthorised access or suspected security incident.

5. Customer data

"Customer Data" means any data, content, or information — including personal data, call recordings, transcripts, appointment records, configuration data, and metadata — that you or your users submit to or generate through the Services.

As between the parties, you retain ownership of Customer Data. You are solely responsible for its accuracy, quality, and legality, and for ensuring you have all necessary rights, consents, and notices to use and disclose it in connection with the Services.

We will process Customer Data only to provide, secure, and support the Services, to comply with legal obligations, and as described in our Privacy Policy, which is incorporated into these Terms by reference.

We do not use Customer Data, call recordings, or transcripts to train or fine-tune AI models.

6. Call recording, consent, and your responsibilities

The Services may record, transcribe, and analyse calls handled through VoxVanta.

You are solely responsible for determining whether and how to use these features in compliance with applicable law, including call recording, telecom, and privacy laws in the jurisdictions of all call participants. Without limitation, you are responsible for:

  • Providing legally sufficient notices to callers and obtaining any required consents.
  • Configuring call flows, prompts, and announcements to reflect your legal and compliance requirements.
  • Responding to data subject or data principal requests arising from Customer Data, as the data fiduciary for that data.

VoxVanta does not provide legal advice and makes no representation about the legality of your particular use of the Services. You should consult your own counsel.

7. Third-party integrations and Google Calendar

The Services may interoperate with third-party products and platforms, including telephony carriers, AI providers, and calendar systems. Your use of any third-party service is subject to that provider's own terms and privacy policy, and VoxVanta is not responsible for their acts or omissions. We do not guarantee the continued availability of any integration and may modify or discontinue an integration where a third party changes its API or terms.

7.1 Google Calendar integration

If you enable appointment booking, you may connect a Google Calendar account to VoxVanta.

  • Connecting your calendar is entirely optional. The Services can be used without it.
  • By connecting, you authorise VoxVanta to read free/busy availability from the selected calendar and to create appointment events on it, as described in Section 6 of our Privacy Policy.
  • You represent that you own the Google account you connect, or that you are authorised by its owner to connect it.
  • You are responsible for reviewing appointments created by the AI agent. Appointment events are created automatically from information provided by callers during a call, and VoxVanta does not verify the accuracy of caller-supplied information.
  • VoxVanta does not read, modify, or delete pre-existing events on your calendar.
  • You may disconnect your calendar at any time from the Appointments page of the portal, or revoke access at https://myaccount.google.com/permissions. Disconnecting stops all future bookings; it does not remove events already created.
  • Your use of Google Calendar remains subject to Google's own Terms of Service and Privacy Policy.

8. Acceptable use

You agree not to use the Services, and not to permit others to use the Services, in any way that:

  • Violates any applicable law, regulation, or telecom or industry code.
  • Infringes or violates the intellectual property, privacy, or other rights of any person.
  • Is fraudulent, deceptive, harassing, defamatory, obscene, or otherwise harmful.
  • Impersonates any person or misrepresents the AI agent as a human where disclosure is legally required.
  • Attempts to reverse engineer, decompile, or extract source code from any part of the Services, except to the limited extent permitted by law.
  • Interferes with or disrupts the integrity, availability, or security of the Services or any third-party system.
  • Circumvents usage limits, authentication, or security mechanisms.

We may investigate violations and may suspend or terminate access for conduct that, in our reasonable judgment, violates these Terms or creates a risk of harm.

9. Service availability and AI limitations

We use commercially reasonable efforts to keep the Services available, but we do not guarantee uninterrupted or error-free operation. The Services depend on third-party telephony and AI providers whose availability is outside our control.

You acknowledge that AI-generated responses may be inaccurate, incomplete, or unexpected, and that automated appointment booking may occasionally produce errors. You are responsible for reviewing agent configuration and monitoring outcomes. The Services are not suitable for emergency, medical, or life-safety communications.

10. Fees, subscriptions, and payment

Access is offered on a subscription basis, with fees specified in your applicable plan or order. Unless otherwise stated:

  • Subscription fees are billed in advance.
  • You agree to pay all applicable fees and taxes, and authorise us or our payment processor to charge your selected payment method.
  • Fees are non-refundable except as set out in our Refund and Cancellation Policy.
  • If we offer a free trial or pilot, it converts to a paid subscription at the end of the trial period if you continue using the Services and have provided valid billing information.
  • We may change pricing with reasonable prior notice, communicated through the Site, within the Services, or by email. Continued use after the effective date constitutes acceptance.

Failure to pay undisputed amounts when due may result in suspension of the Services.

11. Intellectual property

Except for the limited rights expressly granted here, VoxVanta and its licensors retain all right, title, and interest in the Services, including all software, designs, interfaces, and underlying technology. No rights are granted by implication or estoppel.

You retain all right, title, and interest in Customer Data, subject to the rights granted to us in these Terms and the Privacy Policy.

We may use suggestions or feedback you provide without restriction or obligation, provided such use does not identify you or your confidential information.

12. Confidentiality

Each party agrees to protect the other's Confidential Information using at least reasonable care and to use it only for purposes consistent with these Terms. These obligations do not apply to information that is publicly available without breach, already known to the receiving party, independently developed, or rightfully obtained from a third party without breach of any obligation.

13. Warranties and disclaimers

We will use commercially reasonable efforts to provide the Services in a professional manner and to maintain reasonable technical and organisational measures to protect Customer Data.

To the maximum extent permitted by law, the Services are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or will meet all of your requirements.

14. Limitation of liability

To the fullest extent permitted by law, neither VoxVanta nor its proprietor, employees, or agents will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunity, or data, even if advised of the possibility of such damages. This includes losses arising from missed, incorrect, or duplicated appointments.

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Services or these Terms will not exceed the total amount paid by you to VoxVanta for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose.

15. Indemnification

You agree to indemnify, defend, and hold harmless VoxVanta and its proprietor, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services in violation of these Terms or applicable law.
  • Customer Data, including any allegation that it infringes or violates the rights of a third party.
  • Your failure to obtain necessary consents or provide required notices in connection with call handling or recording.

16. Term, suspension, and termination

These Terms take effect when you first accept them or first use the Services and continue until terminated.

You may cancel your subscription in accordance with our Refund and Cancellation Policy. We may suspend or terminate access immediately with notice if you materially breach these Terms, use the Services in a way that poses a security or legal risk, or fail to pay undisputed amounts when due.

On termination, your right to access the Services ceases, and we may delete or deactivate your account and Customer Data in accordance with the retention periods set out in the Privacy Policy. Any connected Google Calendar grant is revoked and the stored tokens are deleted on termination.

Provisions that by their nature should survive — including those on fees, confidentiality, intellectual property, limitation of liability, indemnity, and dispute resolution — survive termination.

17. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts at Palakkad, Kerala, India.

Nothing in this section limits either party's right to seek injunctive or other equitable relief.

18. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will provide notice by reasonable means, which may include updating the "Last updated" date, displaying a notice within the Services, or emailing the primary contact on your account. Continued use after the effective date constitutes acceptance.

19. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. You may not assign these Terms without our prior written consent; we may assign them in connection with a sale or reorganisation of the business. No failure or delay in exercising a right constitutes a waiver of that right. These Terms, together with the Privacy Policy and Refund and Cancellation Policy, constitute the entire agreement between the parties regarding the Services.
